1. Acceptance of Terms

By accessing or using the services provided by InQik ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

2. Services Description

InQik provides the following services:

  • Google Business Profile optimization and management
  • Review collection system setup and management
  • Local rank tracking with GPS-based heatmaps
  • Competitor intelligence and analysis
  • Multi-location and franchise management
  • Web design and development
  • AI chatbot development and automation
  • Software as a Service (SaaS) solutions
  • IT consulting and cloud computing services
  • Digital marketing and online advertising

Specific deliverables for each service will be outlined in your individual service agreement, proposal, or the plan description on our pricing page.

3. Registration & Onboarding

To use our services, you must complete our registration and onboarding process, which includes providing the following:

  • Full name of the business owner or authorized representative
  • Business email address (must be a valid, non-disposable email)
  • Phone number for account verification and communication
  • Business name and type of establishment
  • Business ownership declaration (see Section 4 below)

After completing payment, you will be guided through our onboarding wizard where you will link your Google Business Profile or provide business details for listing creation. Google Maps API services are only activated after successful payment.

For multi-location businesses (2 or more locations), setup is handled by our team. Please contact us through the registration form or directly to arrange a custom plan.

4. Business Ownership Declaration

Mandatory Ownership Confirmation

During onboarding, you are required to confirm that you are the authorized owner, partner, or manager of the business for which you are purchasing our services. This declaration is legally binding.

By accepting this declaration, you confirm that: (a) you have the legal authority to manage the business's online presence; (b) you are not claiming a business owned by another party; and (c) all information provided is truthful and accurate. Your IP address and timestamp are recorded with this declaration.

Consequences of false ownership claims: If it is discovered that you have claimed a business you do not own or are not authorized to manage, your account will be immediately terminated without refund. We reserve the right to report fraudulent claims to relevant authorities. See our Refund Policy for details on non-refundable scenarios.

5. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete business information during registration and onboarding
  • Maintain a valid phone number and email address on your account
  • Truthfully declare business ownership during the onboarding process
  • Grant necessary access to your Google Business Profile and other relevant accounts
  • Respond to our communications within reasonable timeframes
  • Provide photos, content, and approvals as requested
  • Ensure you have the legal right to represent the business
  • Not engage in practices that violate Google's guidelines
  • Make timely payments as per agreed terms
  • Notify us immediately if your business ownership status changes

6. Payment Terms

Accepted Payment Methods

We accept payments via UPI, net banking, debit cards, credit cards, and international cards through our secure payment partners including PayU, PayPal, and Stripe. All transactions are encrypted and PCI-DSS compliant.

One-Time / Project Services

  • 50% advance payment required before work begins
  • Remaining 50% due upon completion of deliverables
  • Custom payment milestones may be agreed upon for larger projects

Monthly Subscription Services

  • Subscriptions are billed at the beginning of each billing cycle
  • Services may be paused after 7 days of non-payment
  • Services terminated after 15 days of non-payment
  • Annual plans are billed monthly at a discounted rate

Taxes

All prices listed are exclusive of applicable taxes unless stated otherwise. Applicable taxes will be charged as per the laws of the client's and service provider's jurisdiction.

Refund & Cancellation

Refunds and cancellations are governed by our Refund & Cancellation Policy. In summary: services once delivered are non-refundable; monthly subscriptions can be cancelled with 15 days notice; and full refunds are available before service commencement.

7. Deliverables & Guarantees

What We Guarantee

  • All listed deliverables completed to professional standards
  • Profile 100% complete per Google's available features
  • Review collection system set up and operational
  • Monthly management tasks completed as outlined
  • Timely communication and responsive support
  • Best practices followed per current Google guidelines

What We Cannot Guarantee

  • Specific Google search ranking positions
  • Number of reviews received from customers
  • Increase in phone calls, website visits, or footfall
  • Revenue growth or specific business outcomes
  • Actions of competitors or market conditions
  • Changes to Google's algorithm or policies

These outcomes depend on factors outside our control, including Google's algorithm, customer behavior, competition, and market conditions. However, optimized profiles consistently outperform incomplete ones.

8. Intellectual Property

  • Content created specifically for your business (descriptions, posts, etc.) becomes your property upon full payment
  • Our methodologies, processes, tools, dashboards, and proprietary software remain our intellectual property
  • The InQik name, logo, and brand assets are the intellectual property of InQik
  • You may not resell, redistribute, or white-label our services without written permission

9. Confidentiality

We will keep all your business information confidential and will not share it with third parties except as required to deliver our services or as required by law. This includes your Google Business Profile credentials, business data, and analytics information.

10. Limitation of Liability

To the maximum extent permitted by law, InQik shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or revenue
  • Loss of business opportunities
  • Loss of data
  • Reputational damage
  • Changes made by Google to your profile, rankings, or policies

Our total liability for any claim arising from our services shall not exceed the total amount paid by you for services in the 3 months preceding the claim.

11. Termination

By Client

You may terminate services at any time with 15 days written notice to support@inqik.com. For monthly services, termination will be effective at the end of the current billing period. Please refer to our Refund & Cancellation Policy for details.

By InQik

We may terminate services if:

  • Payment is not received after 15 days of the due date
  • You violate these terms or Google's guidelines
  • You provide false or misleading information
  • You falsely claim ownership of a business you do not own or are not authorized to manage
  • Continued service would damage our reputation or other clients

12. Fraud Prevention

We take fraud seriously and have implemented measures to protect both our clients and the businesses listed on our platform. These measures include:

  • Business ownership verification during onboarding
  • Duplicate business detection to prevent multiple claims on the same listing
  • IP address and timestamp recording for all ownership declarations
  • Phone number verification for account holders
  • Payment verification before activating Google Maps API services
  • Administrative review of suspicious accounts

Accounts found to be engaged in fraudulent activity (including but not limited to claiming businesses you do not own, creating accounts for non-existent businesses to obtain services fraudulently, or providing false information) will be permanently terminated without refund.

13. Google Guidelines Compliance

All our services are designed to comply with Google's Business Profile guidelines. We do not engage in:

  • Fake reviews or review manipulation
  • Keyword stuffing in business names
  • Creating listings for non-existent businesses
  • Any other practices prohibited by Google

14. Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be KA, IN.

15. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of IN. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts in KA, IN.

16. Changes to Terms

We reserve the right to modify these terms at any time. We will notify existing clients of material changes via email. Continued use of our services after changes constitutes acceptance of the new terms.

17. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue to be valid and enforceable.
